Marwa El Husseini
Senior Associate - Head of Corporate Department
Marwa El Husseini is a Senior Corporate Lawyer and Head of the Corporate Department, with extensive experience advising on complex corporate transactions and strategic matters across the UAE.
Her practice focuses on mergers and acquisitions, joint ventures, private equity and venture capital investments, corporate restructuring, and strategic corporate advisory across a broad range of sectors.
Marwa regularly leads and advises on high-value and cross-border transactions, including majority and minority acquisitions, equity investments, group reorganizations, and corporate structuring matters. She is experienced in negotiating and drafting a wide range of commercial, financial, and investment documentation, including shareholders’ agreements, investment term sheets, advisory board agreements, and complex commercial and operational contracts.
She also advises local and international clients on regulatory and compliance matters, including change of control considerations, licensing and incorporation requirements, and ongoing corporate governance obligations under UAE laws and regulations.

Throughout his professional career, Elias has gained significant long-standing experience in corporate matters, particularly in the fields of commercial and financial international taxation, company structuring and restructuring, international business law, venture capital and assisting startup companies, real estate as well as construction practices and litigation.
Elias constitutes a key element at IAA and thus has represented major national and international clients in corporate matters. He regularly assists clients in mergers and acquisitions, joint ventures, intellectual property and patent protection claims against infringement in addition to FIDIC Expertise.
Elias is able to assist companies in various field such as intellectual property, food and beverage, pharmaceutical, engineering, and franchise.

Senior Associate

Stephanie handles the administrative legal tasks at the office. She organizes reference files, drafts and finalizes commercial legal documentation and maintains general follow-up with clients.
Stephanie assists attorneys in preparing for their trials, hearings and pleadings, where she conducts the necessary legal research to every legal case and proofreads the legal documents.
Stephanie gained experience in the preparation of insurance recoveries and drafting claim reports for insurance companies. She assists senior attorneys through the negotiation process for the settlement of claims by insurers.

Maribelle Eid

Maribelle is a member of the corporate department, where she advises on and drafts a wide range of corporate and commercial transactions, with a particular focus on mergers and acquisitions, corporate restructurings, and investment transactions.
She is also involved in conducting legal due diligence exercises, preparing legal opinions and transaction-related memoranda, and assisting clients throughout various stages of corporate transactions. In addition, she advises on corporate governance matters and assists in drafting corporate policies and internal documentation.
She has also gained experience in advising on and establishing companies across multiple jurisdictions, including Lebanon, the UAE, and BVI.
In addition, she is involved in the litigation department, working closely with litigators to provide assistance in day-to-day matters, as well as drafting and filing complaints and claims.

Tia Makdissy
Associate
Tia is a member of the Corporate and Litigation Departments. She has knowledge of Civil Law, Startups and Tech Law, Corporate Governance, Mergers and Acquisitions, and Alternative Dispute Resolution, enabling her to handle a wide range of legal matters. She conducts legal research, negotiates, and prepares various legal documents, including Shareholders Agreements, Articles of Association, Service Agreements, Safe Notes and Policies.
In the Litigation Department, she prepares motions and pleadings and provides legal support to senior lawyers in complex cases.
Tia holds a master’s degree in Litigation, Arbitration, and Alternative Dispute Resolution and is currently an LL.M. Business Law candidate at the Lebanese American University, where she has gained knowledge of U.S. law.
